Welcome to AzaBazaar. These Terms and Conditions ("Agreement" or "Terms") constitute a legally binding agreement between you ("User," "Buyer," "Seller," or "Vendor") and AzaBazaar International Service ("Company," "AzaBazaar," "we," "us," or "our").
Please read these Terms carefully before accessing or using our platform, mobile applications, website, and related services (collectively, the "Platform"). By creating an account, posting a classified advertisement, or making a purchase on the Platform, you explicitly agree to be bound by this Agreement. If you do not agree to these Terms, you must immediately cease using the Platform.

1. PLATFORM OVERVIEW & DUAL BUSINESS MODEL
AzaBazaar operates a hybrid digital marketplace consisting of two distinct ecosystems:
The Shopping Marketplace (B2C): A managed e-commerce storefront where verified commercial vendors and AzaBazaar sell products directly to consumers with secure online checkout, digital payment gateways, and managed shipping infrastructure.
Classified Advertisements (C2C): A peer-to-peer directory listing service where individual users can publish local classified advertisements for goods, vehicles, real estate, or services. Transactions initiated via the Classifieds section are negotiated entirely between the buyer and seller offline.
2. USER ELIGIBILITY & ACCOUNT REGISTRATION
Eligibility: To register an account, publish a listing, or complete a purchase, you must be at least 18 years of age and possess the legal capacity to enter into a binding contract under the laws of the Federal Republic of Nigeria.
Account Accuracy: You agree to provide true, accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials (password and username) and for all actions taken under your account.
Verification: AzaBazaar reserves the right, but is not obligated, to demand identification, proof of corporate registration (CAC), or licensing credentials to verify user identity and maintain platform security.
3. TERMS FOR THE SHOPPING MARKETPLACE (B2C E-COMMERCE)
This section applies exclusively to transactions executed via the integrated AzaBazaar checkout cart.
Contract of Sale: A binding contract of sale is formed only when AzaBazaar or the verified vendor accepts your order and dispatches the item.
Pricing and Availability: While we make every effort to ensure accurate pricing, errors may occur. If an item is listed at an incorrect price, we reserve the right to cancel the transaction and issue a full refund.
Payments: Payments for marketplace items are processed securely via encrypted third-party payment gateways (e.g., Paystack, Flutterwave). AzaBazaar does not store raw credit card credentials on its servers.
Shipping and Logistics: Delivery timelines are estimates and subject to regional courier operations. Title and risk of loss pass to the buyer upon delivery to the specified logistics address.
Returns and Refunds: Returns are governed by our official Refund Policy. Items must be returned in their original packaging, unused, and within the stipulated return window to qualify for a refund or replacement.
4. TERMS FOR CLASSIFIED ADVERTISEMENTS (C2C PEER-TO-PEER)
This section applies to all user-generated classified listings.
No Agency: AzaBazaar is not an auctioneer, broker, agent, or middleman in classified ad transactions. We do not participate in, control, verify, or execute peer-to-peer negotiations, payments, or physical deliveries.
Assumption of Risk: Users acknowledge that transacting through local classifieds involves inherent risks (including fraud, misrepresentation, and personal safety hazards). You agree to conduct your own due diligence, inspect items in safe, public environments, and pay only upon satisfactory physical verification of the goods.
Listing Validity: Standard classified listings remain active for a predetermined lifecycle (e.g., 30 or 60 days) unless manually removed by the user or deleted by administration for policy violations.
5. PROHIBITED ITEMS AND CONTENT POLICY
Users are strictly prohibited from listing, selling, or advertising any items or services that are illegal under Nigerian law or run counter to platform safety. Prohibited items include, but are not limited to:
Firearms, weapons, ammunition, or military/tactical gear.
Narcotics, illicit drugs, prescription medications, or controlled substances.
Counterfeit goods, pirated software, or intellectual property-infringing materials.
Stolen goods, property without clean title, or unregistered financial instruments.
Adult entertainment, explicit material, or human/animal trafficking.
Fake jobs, pyramid schemes, or fraudulent financial investments.
AzaBazaar reserves the right to remove any listing, without notice or refund, that violates this policy.
6. FEES, PAYMENTS, AND BILLING
Free Services: Registering an account and posting standard classified ads on AzaBazaar is generally free, unless specified otherwise.
Premium Services: AzaBazaar offers paid optional features, such as premium boosted listings, banner ads, and advanced storefront customization. All fees for premium tiers are non-refundable and stated clearly prior to confirmation.
Taxes: Vendors on the Shopping Marketplace are solely responsible for calculating, collecting, and remitting any applicable Value Added Tax (VAT) or other local duties associated with their sales.
7. LIMITATION OF LIABILITY & PLATFORM IMMUNITY
"As Is" Basis: The Platform and all user-generated content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
Immunity from Third-Party Actions: AzaBazaar, its parent company, directors, employees, and affiliates shall not be held legally or financially liable for any financial losses, property damage, fraud, scam, personal injury, or contractual disputes arising out of or connection with user-to-user transactions executed via the Classifieds ecosystem.
Indirect Damages: In no event shall AzaBazaar be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
8. INTELLECTUAL PROPERTY RIGHTS
Company Property: All intellectual property on the Platform—including but not limited to the AzaBazaar brand name, logos, UI/UX design components, codebase, graphics, and proprietary software—is owned exclusively by AzaBazaar International Service.
User License: By posting content or uploading images to AzaBazaar, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual license to use, copy, reproduce, modify, distribute, and display such content for marketing and operational purposes.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless AzaBazaar, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including legal fees) arising from:
Your breach of any clause within these Terms.
Any material, information, or vehicle/property details you upload to the Platform.
Your interaction, transaction, or dispute with any other user of the Platform.
10. TERMINATION OF SERVICE
We reserve the right, in our sole discretion and without liability or prior notice, to terminate or suspend your account, delete your listings, or restrict your access to all or part of the Platform for any reason, including but not limited to:
Bypassing marketplace payment methods or escrow tools.
Systemic buyer complaints, fraud alerts, or suspected scam activities.
Extended periods of inactivity or failure to respond to compliance reviews.
11. GOVERNING LAW & DISPUTE RESOLUTION
Governing Law: These Terms and Conditions shall be governed by, interpreted, and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Amicable Settlement: In the event of a dispute between a User and AzaBazaar, parties shall first attempt to resolve the issue through amicable direct negotiations within thirty (30) days of written notice.
Arbitration: If direct negotiation fails, the dispute shall be referred to and finally resolved by a single arbitrator under the Arbitration and Mediation Act of Nigeria. The place of arbitration shall be determined by the Company, and the proceedings shall be conducted in the English language.
